CONSTITUTIONAL STRUCTURE

NBF is a Section 8 Company Limited By Guarantee registered under the Companies Act

Section 8 Imperatives : Profits have to remain in the company and cannot be distributed amongst its members
Limited By Guarantee Implication : In the event of liquidation if liabilities exceed assets then each member will have to contribute for the shortfall but only upto an amount of Rs 5000/.

NBF will soon apply for Exemption From Income Tax u/s 12 of the Income Tax Act.

The Articles Of Association ( AoA ) and Memorandum of Association ( MoA) provide the governance framework for NBF.

Currently 10 members ; The Maximum limit 200 members – can be increased by the board of directors when needed.

2 Types of Memberships : Ordinary + Patron Members ( to be opened up later )

Ordinary Members Fees : One Time Rs 1 Lac + Annual Membership Fees ( TBD )
Patron Member Fees : One Time Rs 1 Lac + Annual Membership Fees ( TBD ) + One Time Contribution To Corpus (TBD)

Patron Members will have some additional rights in operational matters pertaining to projects where their One time Contribution will be used.

Both categories of members will follow 1 Member -> 1 Vote.

Members can be individuals , limited companies ,LLP or Partnerships.

Membership can be transferred only by way of succession from member to spouse.
